Terms of Service

Welcome to Yellow Chair Upholstery Inc. ("Company," "we," "our," or "us"). We are delighted to provide our upholstery services to you. By accessing or using our services, you agree to comply with and be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our services. If you do not agree with these Terms, please do not use our services.

 

1. Upholstery Services


1.1. Description
We offer upholstery services, which include but are not limited to furniture reupholstery, custom upholstery, foam replacement, and upholstery repairs.

1.2. Quotes and Pricing
All pricing is provided on a case-by-case basis and is valid for 30 days from the date of issuance. Quotes provided for projects scheduled more than six (6) months into the future are subject to material price adjustments due to supplier cost changes. Any adjustments will be discussed in advance of final confirmation.

1.3. Fabric Orders
All fabric orders are final once placed with our suppliers. We cannot offer refunds, exchanges, or changes once fabric has been ordered, regardless of the project timeline. We encourage clients to review samples and specifications carefully before confirming selections.

1.4. Payment and Deposits
A non-refundable deposit is required to secure a place in our production schedule and to initiate material procurement. The amount due and payment schedule will be outlined in your project agreement. We accept payment via cash, cheque, and e-transfer.

1.5. Cancellations and Refunds
Cancellations must be submitted in writing. Any costs incurred prior to cancellation—including fabric orders or custom materials—will be billed in full. Deposits are non-refundable under all circumstances.

2. Scheduling and Turnaround Times


2.1. Appointments and Timing
We work collaboratively to schedule your project based on fabric arrival, workshop capacity, and availability. Estimated start date and completion timelines will be provided but are not guaranteed.

2.2. Delays
While we strive to meet all agreed-upon deadlines, delays may occur due to supplier issues, illness, freight, or other unforeseen factors. We will keep you informed of any such delays and update timelines accordingly.

3. Final Approval and Satisfaction


3.1. Inspection Before Pickup
We welcome you to inspect your completed project in person prior to pickup. Your satisfaction is important to us, and we are happy to address concerns at that time.

3.2. Finality of Work
Once a completed item leaves our premises, the project is considered final and closed. Any further modifications will be treated as a new project and subject to a new scope of work and estimate.

4. Pickup and Storage


4.1. Pickup Window
Completed items must be picked up within seven (7) calendar days of email notification. We do not have long-term storage facilities.

4.2. Storage Fees
Items left beyond this period are subject to a storage fee of $25 per day, starting on the 8th day. We are not responsible for damage, loss, or wear to any item left beyond this pickup window.

4.3 Item Disposal

Any items left on-site for more than ninety (90) days from the date of project completion notice will be considered abandoned unless prior written arrangements have been made. After this period, Yellow Chair Upholstery Inc. reserves the right to dispose of, donate, or repurpose the items at our sole discretion, without further notice or compensation to the client. It is the client’s responsibility to ensure prompt pickup or to communicate any special circumstances in writing prior to the 90-day deadline. Storage fees will continue to apply during this time in accordance with Section 4.2.

5. Customer Responsibilities


5.1. Accurate Information
You are responsible for providing accurate and complete project details, including furniture measurements, special requests, and intended use. Inaccurate representation of work may result in adjustments to final estimate cost.

5.2. Site Access

If delivery or pickup is arranged, it is the client’s responsibility to ensure safe, timely, and unobstructed access to and from the property. This includes:

  • Clear Entry Paths: All entryways, hallways, and doorways must be cleared of obstructions, furniture, or debris to allow safe and efficient transport of items.

  • Driveway and Parking Access: Clients must ensure that there is accessible driveway space or nearby legal parking available for the duration of the pickup or delivery appointment.

  • Stairs and Elevations: If stairs, narrow passages, or elevators are involved, you must notify us in advance. Failure to disclose stairs or access challenges may result in delays or additional charges.

  • Additional Costs for Stairs: Please note that stairs—especially narrow, winding, or multi-floor staircases—can increase the complexity of transport and may result in additional fees to account for the extra time, risk, or labor required.

We reserve the right to postpone or reschedule a pickup or delivery if access is unsafe or not as previously communicated. Any delays or added labor resulting from unprepared sites may be subject to additional charges.

6. Privacy and Data


6.1. Privacy Policy
We respect your privacy. Please refer to our Privacy Policy for details on how your personal information is collected and used.

7. Intellectual Property


7.1. Ownership
All original designs, photography, and other creative content produced or provided by Yellow Chair Upholstery remain the property of the Company and may not be reproduced or reused without written permission.

8. Liability and Dispute Resolution


8.1. Limitation of Liability

To the fullest extent permitted by law, Yellow Chair Upholstery Inc. is not liable for any indirect, incidental, or consequential damages arising from the use of our services. This includes, but is not limited to:

  • Damage resulting from the pre-existing condition, age, or structural integrity of the original furniture piece;

  • Unforeseen wear, fabric behavior, or product changes post-delivery;

  • Minor scuffs, scratches, or marks that may occur during standard handling.

Additionally, while we and/or third-party delivery partners take all reasonable care during transportation, we are not liable for damages to property (e.g., walls, floors, doorframes) that may occur during pickup or delivery, particularly in cases where access is tight, obstructed, or involves stairs or sharp corners. Clients are responsible for ensuring the space is prepared and suitable for safe movement of furniture, as outlined in Section 5.2.

By using our delivery or pickup services, you acknowledge and accept the inherent risks of moving large or heavy items through residential or commercial spaces.

8.2. Dispute Resolution
Any disputes related to these Terms or your use of our services shall be governed by the laws of Ontario and resolved through binding arbitration.

9. Termination of Service


9.1. Right to Refuse or Terminate Service

Yellow Chair Upholstery Inc. reserves the right to refuse or terminate service at any stage of the project if a client engages in any behavior or actions that compromise the safety, efficiency, or integrity of our work. Grounds for refusal or termination of service include, but are not limited to:

  • Harassment, hate speech, discrimination, threats, or any form of abusive, aggressive, or inappropriate behavior toward staff, contractors, or delivery personnel;

  • Repeated failure to communicate in a timely or respectful manner;

  • Rescheduling or changing the project start or delivery date three (3) or more times, which disrupts our production calendar;

  • Chronic indecision, such as an inability to finalize fabric or design selections after multiple consultations, resulting in prolonged delays to project commencement;

  • Providing false, misleading, or incomplete information related to the project scope, furniture condition, access logistics, or payment arrangements;

  • Failure to provide safe, accessible, or prepared premises for pickup or delivery, even after notification;

  • Non-payment or failure to adhere to agreed-upon payment terms;

  • Attempting to renegotiate the scope, price, or terms of work after project approval and materials have been ordered;

  • Any conduct that jeopardizes the health, well-being, or working conditions of our team.

In the event of service termination, clients will be responsible for any work completed and materials ordered to date. Any deposits paid will remain non-refundable, and additional fees may apply for materials purchased or time invested prior to termination.

10. Changes to Terms


10.1. Modifications
We reserve the right to update or change these Terms at any time. The most current version will always be available on our website. It is your responsibility to review the Terms periodically.
